TERMS OF USE

Please read these Terms of Use (“Agreement”) carefully before installing, accessing, or using this application (the “Software”).

1. Acceptance of Terms

By installing, downloading, or using the Software, you acknowledge that the Software is a technical processing tool designed exclusively to combine media files locally on your machine. You agree to be legally bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

2. License Grant & Restrictions

The Developer grants you a limited, non-exclusive, non-transferable, and revocable license to use the Software solely for your personal or commercial production purposes. You strictly agree not to:

  • Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Software.
  • Modify, adapt, tamper with, or create derivative works based upon the Software.
  • Rent, lease, sublicense, resell, or distribute the Software application file to third parties.

3. Intellectual Property Rights

  • The Software: The Developer retains all right, title, and interest in and to the Software, including all code, logic, interfaces, logos, and intellectual property rights. No ownership of the Software is transferred to you.
  • User Content & Output: The Developer claims zero ownership or rights over the input materials (images, audio) you provide or the resulting video files generated by the Software. You retain full ownership, control, and intellectual property rights over everything you create using the tool.

4. Origin of Content & User Responsibility

The Software operates strictly as an automated processing tool.

  • Source Material: You represent and warrant that you possess all necessary legal rights, licenses, and permissions to use all input files, whether they are human-created, AI-generated, or licensed from third parties.
  • AI-Generated Content: If you use AI-generated images, video frames, or audio as input, you are solely responsible for ensuring that such content complies with the terms of service of the respective AI providers and current copyright laws.
  • No Developer Involvement: The Developer does not provide, generate, host, or curate any media content. The Software operates entirely locally on your machine. The Developer has no knowledge of, access to, or control over the nature, content, or legality of the media being processed.

5. Prohibited Use

You agree not to use this Software to process content that:

  • Infringes upon the intellectual property, privacy, publicity, or other proprietary rights of any third party.
  • Is intended to create deceptive “deepfakes,” unauthorized synthetic media of real individuals, or defamatory material.
  • Violates any local, national, or international laws, regulations, or statutes.

6. Disclaimer of Liability & “AS IS” Warranty

  • The Software is provided to you “AS IS” and with all faults and defects without warranty of any kind.
  • To the maximum extent permitted under applicable law, the Developer expressly disclaims all warranties, whether express, implied, or statutory, regarding the legality, fitness for a particular purpose, or uninterrupted performance of the output generated from user-provided material.
  • Under no circumstances shall the Developer be liable for any legal actions, copyright claims, damages, losses, or costs resulting from your choice of input material or the subsequent distribution of the processed video files.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Developer’s total liability for all damages, losses, or causes of action exceed the actual amount paid by you, if any, for purchasing the Software (or a nominal fee of $50 USD, whichever is greater).

8. Indemnification

You agree to indemnify, defend, and hold harmless the Developer from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Software, your breach of this Agreement, or your violation of any third-party rights, specifically including claims related to the use of AI-generated or copyrighted materials.

9. Changes and Termination

The Developer reserves the right to modify, update, or discontinue the Software at any time without notice or liability. Your license to use the Software automatically terminates if you fail to comply with any provision of this Agreement.

10. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Developer’s jurisdiction, without regard to its conflict of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in that jurisdiction.

11. Severability

If any provision of this Agreement is held to be unenforceable or invalid under applicable law, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible, and the remaining provisions will continue in full force and effect.
